Welcome to our Internal Information System, through which you can submit any information you are aware of regarding violations of current regulations, as provided for in Law 2/2023, of February 20, regulating the protection of individuals reporting regulatory violations and combating corruption, as well as our Code of Ethics and other internal company regulations.

 

The Compliance Model is an integral part of the corporate culture of Aire Networks del Mediterráneo. Our company is firmly committed to the principles of ethics, integrity, and transparency in all its actions, and therefore, we demand that all our professionals act honestly and responsibly at all times.

 

Below, are a series of questions and answers to help you understand your rights and how this reporting tool we have made available works:

It is a channel through which any person (informant) who is or has been associated with our company in a work or professional context can confidentially bring to our attention facts or behaviours in which any professional associated with Aire Networks del Mediterráneo has directly or indirectly been involved in and that may constitute a crime and/or a serious or very serious administrative offense, violations of European Union law, violations of labour law, or that may involve or could involve a violation of our Code of Conduct and other internal regulations.

No, in accordance with the legislation governing the protection of individuals reporting regulatory violations, it is not possible to submit complaints, claims, or suggestions through this channel.

The whistleblowing communication system is very straightforward:

 

  • We have provided you with a form to submit your report, where you can attach any evidence, images, videos, or documents that support or prove the facts you want to bring to our attention. You can access the form here.
  • Once you have filled out the form and submit it, you will receive an acknowledgment within a maximum of 7 days with an identifier (registration number). This registration number will allow you to access your report, either to provide new information or documentation, or to check the processing status. Therefore, it is important to make a note of it for future use.
  • Accepted reports will be studied and investigated within a period of three months, which can be extended by another three months, by an independent oversight body within the Compliance Department of Aire Networks del Mediterráneo. They will conduct the necessary investigation to clarify the accuracy or falsehood of the report, as well as, if applicable, take appropriate legal action.
  • This internal oversight body will ensure the protection of the rights of the whistleblower (protection against retaliation, confidentiality, and/or anonymity), the accused (right to defense, presumption of innocence, and honour), and personal data.

Additionally, there are external channels of information unrelated to Aire Networks del Mediterráneo that you may choose to contact, if you deem appropriate. These include the whistleblowing channel of the National Securities Market and Competition Commission (CNMC), the Independent Authority for Whistleblower Protection, the Spanish Data Protection Agency (AEPD), and the Valencian Anti-Fraud Agency.

  • You have the option to submit the report completely anonymously (at your discretion). In this case, it is not necessary to include your identity, email, phone number, or the department from which the report originates, or any information that would enable you to be identified.
  • Confidentiality of both the communicated information and the identity of the whistleblower and any third parties mentioned in the report is guaranteed. Only the individuals managing the internal information system will have access to the report, and they will be the only ones who can communicate with the whistleblower.
  • There will be no reprisals for whistleblowers who act in good faith.
  • The whistleblower can exercise their rights of access, rectification, erasure, restriction, objection, and data portability.

Yes, if you wish to report or inform us about any ethical concerns, irregularities of potential significance, indications, or suspicions of behavior contrary to the law, or actions that may imply the realization of a criminal risk, you can also reach out to us via email at canaldenuncias@grupoaire.es. Please be aware that this method of reporting is distinct from our internal information system and does not assure anonymity.

The processing of personal data resulting from the application of Law 2/2023 will be governed by the provisions of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 and Organic Law 3/2018, of 5 December, on the Protection of Personal Data and Guarantee of Digital Rights.

 

Information regarding the processing of personal data derived from the internal information system:

 

Purpose

 

  • To identify you and be able to contact you.
  • To handle and manage reports related to alleged criminal, administrative, labor, or ethical code violations by professionals associated with Aire Networks del Mediterráneo.

 

Legitimation
 

The processing is necessary for compliance with a legal obligation (Article 6.1.c GDPR) provided for in Law 2/2023, of February 20, regulating the protection of individuals reporting regulatory violations and combating corruption, as well as the fulfillment of essential public interest missions (Article 9.2.g GDPR).

 

If you provide personal data of third parties in the report, you affirm that the information provided is accurate and that you have their consent, committing to convey to them the information contained in this section.

 

Categories of Data Subjects and Categories of Data

 

  • Whistleblowers (Natural Persons or Legal Representatives):
    • Personal Details: Name, last name, ID number or equivalent, and signature.
    • Contact Information: Email, postal address, and phone number.
    • Professional and Academic Background: Position held and affiliated entity.
  • Accused (Natural Persons):
    • Information Supplied by the whistleblower, which may include name, last name, phone number, or email.
  • Witnesses:
    • Information Supplied by the whistleblower, which may include name, last name, phone number, or email.

 

This data is collected to facilitate the thorough investigation and management of reports concerning potential misconduct or regulatory violations within Aire Networks del Mediterráneo.

 

Data Retention Period

 

Data will be securely retained for the duration required to fulfill the original purpose for which it was collected. Additionally, it will be retained to address any potential liabilities that may arise in connection with the purpose and data processing.

 

It’s important to note that we are committed to only collecting personal data that is directly relevant to the specific information processing. Any irrelevant data, if inadvertently collected, will be promptly removed from our records.

 

In cases where received information contains special categories of personal data that require special protection, such data will be promptly deleted, unless processing is deemed necessary for reasons of essential public interest, as outlined in Article 9.2.g) of the GDPR and specified in Article 30.5 of Law 2/2023.

 

Moreover, any communications that have not undergone processing will be securely maintained in an anonymized format. The obligation to block such data, as stipulated in Article 32 of the LOPDPGDD, will not be applicable in these instance

 

Security Measures

 

The security measures implemented correspond to those outlined in ISO/IEC 27001:2013 standard and any other measures specified in our internal regulations to ensure the protection of personal data secured within our systems.

 

Communications:

 

You have the right to keep your identity confidential from third parties. However, solely to fulfill the purposes of data processing, your personal data may be disclosed, when necessary for the proper handling of your report, to:

 

  • National and European Judges and Courts.
  • Public Prosecutor’s Office or European Prosecutor’s Office.
  • Law Enforcement Agencies.
  • Independent Authority for Whistleblower Protection.
  • Other competent authorities in the Public Administration.
  • Responsible for Legal Services at Aire Networks del Mediterráneo.
  • Responsible for the Human Resources Department at Aire Networks del Mediterráneo, only when disciplinary measures against an employee may be warranted.
  • External legal advisors.
